BELOW IS A LETTER FROM MBA OF MAINE PRESIDENT STERLING WILLIAMS REGARDING THE PROPOSED MERGER BETWEEN THE MORTGAGE BANKERS ASSOCIATION OF MAINE AND THE MAINE ASSOCIATION OF MORTGAGE BROKERS:

The Mortgage Bankers Association of Maine (MBA) will hold a Special Meeting at the Portland Country Club on March 18, 2010 at 9:00 AM for the express purpose of voting on the merging of the Maine Association of Mortgage Brokers (MAMB) into Mortgage Bankers Association of Maine and the simultaneous adoption of changes to our bylaws which changes will facilitate the merger, and approving a new name for our corporation, Maine Mortgage Professionals Association.

The Boards of Directors of the MBA and MAMB have been working toward a merger of our organizations in order to more fully represent the interests of the mortgage industry and mortgage consumers in our state, and, in joining together, make our collective voice more unified and clear to consumer and governmental entities, and to further our interests in educational and professional development.

Pursuant to the direction of the respective Boards, representatives of both Boards have been meeting at the committee level to develop changes to the bylaws to enable this merger to be completed and to upgrade the bylaws generally.  A copy of the proposed bylaws changes is attached hereto in order that you may be well informed prior to a vote to be taken at this special meeting.

The Board of Directors of MBA endorses the merger and encourages you to vote in favor of the bylaws changes that will facilitate the merger.  Please direct any questions you may have to me or to Dave Maroon or Hal Tippetts as the MBA representatives to the merger working group.
